Terms of Use

PLEASE READ CAREFULLY. These Terms of Use ("Terms") govern your access to and use of the website www.adinoxadhesives.com (the "Site") operated by ADHESIS, LLC, a Texas limited liability company ("ADHESIS", "ADINOX", "we", "us", or "our"). By accessing or using the Site, you agree to be bound by these Terms.

Notice: Section 16 contains a binding arbitration agreement and a class action waiver. By using the Site, you agree to resolve disputes through individual arbitration. Read Section 16 carefully.

1. Eligibility

The Site is intended for industrial and commercial users acting on behalf of a business entity. You represent that you are at least 18 years old and have authority to enter into these Terms on behalf of yourself or any organization you represent.

2. Limited Use License

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your internal business evaluation, distributor inquiries, and technical reference. No other rights are granted.

3. Prohibited Conduct

You agree not to:

  • Copy, scrape, mirror, frame, reverse engineer, or systematically extract content from the Site, except as expressly permitted.
  • Use the Site to develop competing products, train artificial intelligence models, or build datasets for resale.
  • Interfere with the operation of the Site, including by introducing viruses, attempting unauthorized access, or overloading infrastructure.
  • Misrepresent your identity, affiliation, or authority when contacting us.
  • Use the Site in violation of any applicable law, including export controls, sanctions, anti-corruption, and data protection laws.
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notice.

4. Distributor Inquiries

The Site offers a form for prospective distributors. Submission of an inquiry does not create a distribution agreement, partnership, joint venture, or any binding obligation. Any business relationship will be governed by a separate written agreement signed by both parties. We reserve the right to accept or decline inquiries at our sole discretion.

5. Intellectual Property

All content on the Site — including text, graphics, logos, product images, technical data sheets, safety data sheets, videos, software, and the overall design — is owned by ADHESIS, LLC, its licensors, or its affiliates, and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Trademarks. ADINOX® is a registered trademark. The ADINOX logo, product names, and product designations are trademarks or registered trademarks. You may not use these marks without our prior written consent. All other trademarks displayed on the Site are the property of their respective owners and are used for identification purposes only; no endorsement is implied.

Reservation of rights. Nothing in these Terms grants you any right or license to any intellectual property of ADHESIS, LLC, except the limited use license in Section 2.

6. User Submissions

If you submit unsolicited ideas, suggestions, feedback, or testimonials through the Site ("Submissions"), you grant ADHESIS, LLC a perpetual, worldwide, royalty-free, sublicensable license to use, modify, and exploit the Submissions for any purpose, without compensation or attribution. Do not submit confidential information unless we agree in writing. Information provided in a distributor inquiry is governed by Section 4 and our Privacy Policy and is not licensed under this Section.

7. Technical Information Disclaimer

IMPORTANT. Technical data sheets (TDS), safety data sheets (SDS), application notes, substrate compatibility charts, and other technical content on the Site are provided for general reference only. Actual performance depends on application conditions, surface preparation, substrate variations, environmental factors, and other variables outside our control. You are solely responsible for testing products in your specific application before relying on them for production use. No statement on the Site constitutes a warranty, express or implied, that any product will be fit for a particular purpose.

8. Product and Safety Information

ADINOX-branded industrial adhesives are intended for use by trained professionals. Always read the Safety Data Sheet (SDS) and product label before use. Follow all handling, storage, and disposal instructions. Use appropriate personal protective equipment.

California Proposition 65. Whether a specific ADINOX product requires a California Proposition 65 warning is determined product by product, based on its formulation. For more information, visit our California Proposition 65 Information page and consult the SDS for the specific product. Distributors may be responsible for transmitting Proposition 65 warnings to their California customers, as agreed in writing with us and to the extent provided by Cal. Code Regs. tit. 27 § 25600.2.

9. Export Controls and Sanctions

You agree to comply with all applicable export control and sanctions laws, including the U.S. Export Administration Regulations (EAR, 15 C.F.R. §§ 730-774), the International Traffic in Arms Regulations (ITAR, 22 C.F.R. §§ 120-130) where applicable, and the regulations administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC).

You represent that you (a) are not located in, organized under the laws of, or ordinarily resident in any country or region subject to comprehensive U.S. sanctions (as designated from time to time by the U.S. government — see ofac.treasury.gov for the current list); (b) are not on any U.S. government restricted-party list (including the OFAC Specially Designated Nationals List, the Bureau of Industry and Security Entity List, or the Denied Persons List); and (c) will not export, re-export, or transfer any product or content obtained through the Site in violation of applicable law.

10. Third-Party Links and Content

The Site may contain links to third-party websites, services, or content. These are provided for convenience only. We do not control, endorse, or assume responsibility for any third-party content. Your use of third-party sites is at your own risk and subject to those sites' terms and policies.

11. DMCA / Copyright Complaints

If you believe content on the Site infringes your copyright, send a notice in accordance with the Digital Millennium Copyright Act, 17 U.S.C. § 512(c), to:

Your notice must include all elements required by 17 U.S.C. § 512(c)(3). Misrepresentations may subject you to liability under 17 U.S.C. § 512(f).

12. Disclaimer of Warranties

THE SITE AND ALL CONTENT, PRODUCTS, AND INFORMATION ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ADHESIS, LLC DISCLAIMS ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE. ADHESIS, LLC DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THIS DISCLAIMER IS MADE IN ACCORDANCE WITH TEX. BUS. & COM. CODE § 2.316 AND UCC § 2-316.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ADHESIS, LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE AGGREGATE LIABILITY OF ADHESIS, LLC ARISING OUT OF OR RELATING TO THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.

14. Indemnification

You agree to defend, indemnify, and hold harmless ADHESIS, LLC, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your misuse of the Site in breach of Section 3; (b) your breach of these Terms; (c) your violation of any law or third-party right; or (d) any content you submit.

15. Governing Law

These Terms and any dispute arising out of or relating to them or the Site shall be governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16. Binding Arbitration and Class Action Waiver

READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

16.1 Agreement to Arbitrate

Except for the matters carved out in Section 16.5, any dispute, claim, or controversy arising out of or relating to these Terms or your access to or use of the Site, including any information, technical documentation, or inquiry forms made available through it (a "Dispute"), shall be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules then in effect, as modified by this Section. Disputes arising under a separate written distribution, supply, or sales agreement are governed by the dispute-resolution provisions of that agreement. The Federal Arbitration Act (9 U.S.C. §§ 1 et seq.) governs the interpretation and enforcement of this arbitration agreement.

16.2 Seat, Arbitrator, and Language

The arbitration shall be seated in Austin, Travis County, Texas, and conducted in English. One arbitrator shall be appointed in accordance with AAA Rules. The arbitrator shall have authority to grant any remedy permitted by law, except as limited by these Terms.

16.3 Class Action Waiver

YOU AND ADHESIS, LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF MULTIPLE PARTIES OR PRESIDE OVER ANY FORM OF REPRESENTATIVE PROCEEDING.

16.4 Jury Trial Waiver

YOU AND ADHESIS, LLC WAIVE ANY RIGHT TO TRIAL BY JURY IN ANY COURT PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE.

16.5 Carve-Outs

Notwithstanding the above, either party may: (a) seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information; (b) bring an individual action in small claims court if eligible; and (c) enforce an arbitral award in any court of competent jurisdiction.

16.6 Costs

Arbitration fees shall be allocated in accordance with AAA Rules. The prevailing party in any arbitration or related court proceeding may recover reasonable attorneys' fees and costs to the extent permitted by applicable law.

16.7 Severability of Arbitration Provisions

If any portion of this Section 16 is held unenforceable, it shall be severed and the remainder shall continue in full force. However, if the Class Action Waiver in Section 16.3 is held unenforceable as to a particular claim, that claim shall be litigated in the state or federal courts located in Travis County, Texas.


17. Forum Selection (for non-arbitrable matters)

For matters that are not subject to arbitration, you and ADHESIS, LLC consent to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas, and waive any objection based on forum non conveniens.

18. Force Majeure

Neither party shall be liable for failure or delay in performance due to causes beyond its reasonable control, including acts of God, war, terrorism, civil unrest, pandemic, government action, labor disputes, supply chain disruption, fire, flood, or internet outage.

19. Modifications

We may modify these Terms by posting an updated version on the Site. For material changes, we will provide reasonable advance notice (for example, a notice on the Site). Modifications take effect prospectively on their stated effective date and do not apply to disputes arising before that date. Your continued use of the Site after the effective date constitutes acceptance of the modified Terms.

20. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely, including to an affiliate or in connection with a merger, acquisition, or sale of assets.

21. Severability

If any provision of these Terms is held invalid or unenforceable, that provision shall be severed and the remainder shall remain in full force and effect.

22. No Waiver

No failure or delay by ADHESIS, LLC to exercise any right under these Terms shall constitute a waiver. Waivers must be in writing and signed by an authorized representative.

23. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and ADHESIS, LLC regarding the Site and supersede all prior agreements on the same subject. These Terms are drafted in English; the Spanish version is provided for convenience, and in case of conflict the English version controls.
